Associated Power Structures 成立于1996年，业务涵盖输电和配电基础设施建设，在印度国内及部分国际市场均有项目布局。截至2025年3月31日的财年，该公司实现总收入122.7亿印度卢比，净资产为34亿印度卢比。交易完成后，Associated Power Structures 将成为 Waaree Renewable Technologies 的子公司。
Waaree Renewable Technologies 表示，此次收购将其业务版图从可再生能源发电拓展至输配电基础设施领域，而该领域是大规模可再生能源项目落地的基础支撑。
Waaree Renewable Technologies 首席财务官曼莫汉·夏尔马（Manmohan Sharma）表示：“此次收购是 Waaree 朝着成为一家全面一体化能源转型公司的进程中迈出的决定性一步。”他指出，输配电能力的补充将有助于在印度及其他市场可再生能源装机持续扩张的背景下，提升项目执行能力。
该公司表示，此项交易符合其长期战略，即打造覆盖可再生能源发电、工程采购与施工（EPC）、能源效率以及相关基础设施的一体化平台。Waaree 还指出，内部化的输配电能力有望提升公用事业级可再生能源项目的执行确定性和交付能力。
交易计划于2026年4月30日前完成，前提是满足相关约定条件。Singhi Advisors 担任 Waaree Renewable Technologies 此次交易的独家战略及财务顾问。
